1. Scope and Application

These Commercial Terms & Conditions (“Terms”) apply to the quotation, sale, manufacture, engineering, supply, delivery, installation, installation supervision, inspection, testing, commissioning assistance, technical services and other commercial activities provided by Euroslot Pars (“ESP”, “Euroslot Pars”, “Company”, “we”, “us” or “our”).

These Terms are intended primarily for business-to-business transactions involving industrial equipment, components, engineering products and related services, including but not limited to Reactor Internals, Separation Internals, Tower Internals, Filtration, Special Equipment, Packages, and other engineered or manufactured products and services.

These Terms shall apply unless expressly superseded or modified by a written agreement signed by an authorized representative of Euroslot Pars.

No term, condition or provision contained in a Client's purchase order, vendor registration, procurement portal, specification, standard purchasing conditions or other document shall modify or supersede these Terms unless expressly accepted in writing by an authorized representative of Euroslot Pars.

2. Definitions

For purposes of these Terms:

“Company” or “ESP” means Euroslot Pars.

“Client” or “Buyer” means the legal entity purchasing Products or Services from ESP.

“Products” means any goods, equipment, components, assemblies, industrial products, manufactured items or engineered products supplied by ESP.

“Services” means engineering, inspection, testing, installation, installation supervision, commissioning assistance, technical support and any other services expressly agreed by ESP.

“Contract” means the written agreement, purchase contract or other legally binding document accepted by ESP.

“Purchase Order” or “PO” means the Client's purchase order expressly accepted by ESP.

“Quotation” or “Commercial Offer” means ESP's written commercial offer issued to the Client.

“Technical Documents” means drawings, specifications, datasheets, calculations, reports, manuals, procedures, models and other technical information supplied by ESP.

“Site” means the location designated by the Client for delivery, installation, inspection, commissioning or provision of Services.

“Delivery” means delivery as determined by the applicable Contract, Purchase Order, Quotation and/or agreed Incoterm.

“Business Day” means a working day applicable to ESP's place of business, excluding officially recognized holidays.

3. Contract Formation and Acceptance

A Contract shall become binding upon written acceptance by ESP or upon the occurrence of any other event expressly identified by ESP as constituting acceptance.

ESP shall not be bound by any Client Purchase Order until such Purchase Order has been expressly accepted by ESP.

Any quotation issued by ESP shall be subject to the validity period expressly stated therein. Unless otherwise stated in writing, a quotation is not an acceptance of any purchase order and does not create a binding obligation to supply.

ESP reserves the right to correct clerical, typographical, technical or pricing errors in any quotation prior to acceptance.

4. Order of Precedence

Unless otherwise expressly agreed in writing, the following order of precedence shall apply:

  • The signed Contract or written agreement;
  • Written amendments or Change Orders signed by authorized representatives;
  • ESP's accepted Commercial Offer or Quotation;
  • The accepted Purchase Order, only to the extent expressly accepted by ESP;
  • Approved Technical Specifications and Drawings;
  • These Commercial Terms & Conditions;
  • Other documents incorporated by express written reference.

Any Client document shall not supersede an ESP document merely because it is issued later in time.

In the event of any conflict, the higher-ranking document shall prevail to the extent of the conflict.

5. Product Specifications and Engineering

Products shall be manufactured or supplied in accordance with the specifications expressly stated in the applicable Contract, Quotation, approved drawings, datasheets or other documents accepted by ESP.

ESP shall not be responsible for requirements, specifications, dimensions, operating conditions or performance criteria that were not expressly disclosed to and accepted by ESP.

Any information supplied by the Client shall be accurate, complete and suitable for the intended purpose.

ESP shall be entitled to rely upon Client-provided information without independent verification unless verification is expressly included in ESP's scope.

ESP shall not be liable for any consequence resulting from inaccurate, incomplete, late or misleading information supplied by the Client.

6. Client Responsibilities

The Client shall provide ESP, in a timely manner, with all information, approvals, drawings, specifications, operating data, access, permits, decisions and other cooperation reasonably required for performance of the Contract.

Any failure, delay or omission by the Client shall entitle ESP to an appropriate extension of time and, where applicable, recovery of additional costs and expenses.

The Client shall remain responsible for the accuracy and completeness of all Client-supplied information.

7. Prices and Taxes

Unless otherwise stated in writing, prices quoted by ESP apply only to the scope expressly identified in the applicable Quotation or Contract.

Any item, service, material, document, inspection, testing, transportation, installation activity or other requirement not expressly included in the agreed scope may be charged separately.

Prices are exclusive of taxes, duties, customs charges, governmental fees, withholding taxes, bank charges and other charges unless expressly stated otherwise.

Any increase in costs arising from changes in law, governmental requirements, taxation, duties, transportation costs, material costs or other circumstances occurring after the date of quotation may be subject to adjustment where permitted by the Contract or applicable law.

8. Payment Terms

Payment terms, payment milestones, currency, banking arrangements and other financial conditions shall be those expressly stated in the applicable Contract, Quotation or Purchase Order accepted by ESP.

All payments shall be made in full, without unauthorized deduction, withholding, counterclaim or set-off, except where such deduction is mandatory under applicable law.

If the Client fails to make a payment when due, ESP may, without prejudice to any other rights:

suspend manufacturing;

suspend engineering activities;

suspend delivery;

suspend Services;

withhold documents;

postpone shipment;

suspend site mobilization; and/or

recover reasonable additional costs resulting from such suspension or delay.

Any payment suspension caused by the Client shall entitle ESP to an appropriate extension of the delivery or completion schedule.

9. Engineering, Drawings and Approvals

Where Client approval of drawings, documents or technical information is required, the Client shall provide such approval or comments within the period specified by ESP or the applicable Contract.

Any delay in Client approval shall automatically extend the relevant schedule to the extent affected.

Once a drawing, specification or document has been approved by the Client, ESP shall be entitled to proceed based on such approval.

Any subsequent change requested by the Client may constitute a Change Order and may result in additional costs and schedule extension.

10. Changes and Variations

No modification, addition, deletion, deviation or change to the agreed scope shall be binding upon ESP unless confirmed in writing by an authorized representative of ESP.

A Client-requested change may result in:

additional engineering costs;

additional material costs;

additional manufacturing costs;

additional inspection or testing costs;

additional transportation costs;

additional site costs; and/or

extension of the delivery or completion schedule.

ESP shall have no obligation to implement a requested change until the applicable commercial and technical consequences have been agreed in writing.

Verbal instructions, informal communications or instructions issued by unauthorized personnel shall not amend the Contract.

11. Manufacturing

ESP shall manufacture Products in accordance with the agreed technical requirements and its applicable manufacturing and quality-control procedures.

Manufacturing schedules are based on timely receipt of required information, approvals, payments, materials and Client cooperation.

ESP shall not be responsible for manufacturing delays caused by:

Client delays;

delayed approvals;

changes requested by the Client;

non-payment;

third-party inspection delays;

force majeure;

transportation disruption;

governmental restrictions; or

other circumstances beyond ESP's reasonable control.

12. Quality Assurance and Inspection

ESP shall perform quality-control activities in accordance with the applicable Contract, approved Inspection and Test Plan (“ITP”), specifications and ESP's applicable quality procedures.

Where inspection by the Client or a third-party inspector is required, the Client shall ensure that the inspector is available at the agreed time.

If the Client or its appointed inspector fails to attend an agreed inspection without sufficient prior notice, ESP may proceed with the relevant inspection or manufacturing activity and shall not be responsible for resulting delays.

Additional inspections, tests or documentation not expressly included in the agreed scope may be subject to additional charges.

13. Non-Conformity

Any alleged non-conformity shall be notified to ESP in writing with sufficient technical evidence to permit investigation.

The Client shall provide access to the relevant Product, records, operating data, photographs, inspection reports and other information reasonably required by ESP.

ESP shall have the right to investigate and determine whether the alleged non-conformity is attributable to ESP.

Where a valid manufacturing or workmanship defect is confirmed within the applicable warranty, ESP's obligation shall be limited to the remedies expressly provided under Section 18.

14. Packaging, Marking and Storage

ESP shall package Products in accordance with the packaging requirements agreed in the applicable Contract.

Unless otherwise expressly agreed, ESP shall not be responsible for special storage conditions, preservation or long-term storage after Delivery.

The Client shall inspect packaging and Products upon receipt and shall take all reasonable measures necessary to prevent damage caused by improper storage, exposure, handling or environmental conditions.

Any special preservation, packing, corrosion protection or storage requirement requested by the Client and not included in the original scope may be charged separately.

15. Delivery and Incoterms®

Delivery shall be governed by the delivery term expressly stated in the applicable Contract, Quotation or Purchase Order.

Where an Incoterm is used, the applicable rule shall be interpreted in accordance with Incoterms® 2020, together with the specifically named place or port stated in the applicable Contract.

Examples may include:

  • EXW — Ex Works;
  • FCA — Free Carrier;
  • FOB — Free On Board;
  • CIF — Cost, Insurance and Freight;
  • CIP — Carriage and Insurance Paid To;
  • DAP — Delivered at Place;

or another Incoterms® 2020 rule expressly agreed by the parties.

No Incoterm shall be implied merely because it has been used in a previous transaction.

The applicable Incoterm, named place or named port, and any special delivery conditions must be expressly stated in the applicable commercial document.

Incoterms® 2020 allocates defined delivery responsibilities, costs and risks between seller and buyer; therefore, the specific rule and named place are material parts of the applicable transaction.

16. Delivery Schedule and Delays

Any delivery or completion date shall be based on the assumptions and conditions stated in the applicable Contract or Quotation.

Unless expressly stated otherwise in writing, delivery dates shall not be interpreted as unconditional guarantees independent of Client obligations.

ESP shall be entitled to an extension of time where delay is caused directly or indirectly by:

late payment;

delayed approval;

delayed technical information;

Client-requested changes;

delayed inspection;

site unavailability;

transportation disruption;

governmental action;

import/export restrictions;

force majeure;

third-party delays beyond ESP's control; or

any other Client-caused or uncontrollable event.

Any additional cost resulting from Client-caused delay may be charged to the Client.

17. Site Installation and Installation Supervision

ESP shall perform installation, installation supervision, commissioning assistance or technical services only to the extent expressly included in the applicable Contract.

Where ESP provides supervision only, the Client or its appointed contractor shall remain responsible for actual execution of the installation.

Unless expressly included in ESP's scope, the Client shall provide:

safe and unrestricted site access;

required work permits;

lifting equipment and cranes;

scaffolding;

temporary facilities;

electrical power;

lighting;

qualified local labor;

tools and consumables;

transportation within the Site;

storage facilities;

accommodation and transportation of ESP personnel where agreed to be Client's responsibility; and

all other site facilities expressly identified as Client responsibilities.

ESP shall not be responsible for the acts, omissions, workmanship or safety performance of Client personnel, subcontractors or other third parties not under ESP's direct control.

18. Site Readiness

The Client shall ensure that the Site is fully ready before ESP personnel are mobilized.

Unless otherwise agreed in writing, the Client shall provide written confirmation of Site readiness at least 14 calendar days before the planned mobilization date.

Site readiness shall include, as applicable:

access to the work area;

necessary permits;

completed preparatory works;

available lifting equipment;

completed scaffolding;

safe working conditions;

required utilities;

required shutdown or isolation conditions;

availability of equipment to be worked on;

HSE induction and approvals; and

availability of Client personnel required for coordination.

If the Site is not ready when ESP personnel arrive, ESP may suspend or postpone the Services.

Any resulting standby, demobilization, remobilization, additional accommodation, transportation, labor, engineering or other reasonable costs may be charged to the Client, subject to the applicable Contract and applicable law.

19. HSE Requirements

The Client shall provide ESP personnel with the applicable Site Health, Safety and Environmental (“HSE”) requirements before mobilization.

The Client shall ensure that the Site provides safe working conditions and the necessary permits, access controls and emergency arrangements.

ESP personnel shall comply with applicable Site HSE rules that have been properly communicated to them.

ESP reserves the right to suspend work where ESP reasonably determines that conditions present a serious safety risk to its personnel.

Any resulting schedule or cost impact arising from unsafe Site conditions shall be treated in accordance with the applicable Contract.

20. Warranty

Unless otherwise expressly stated in the applicable Contract, the warranty period, scope and conditions shall be those expressly specified in the applicable Contract, Quotation or Purchase Order.

Unless the applicable Contract expressly provides otherwise, the warranty period shall commence from the date of Delivery.

Installation, commissioning, first operation, acceptance testing or commencement of commercial operation shall not postpone the commencement of the warranty period unless expressly agreed in writing.

The warranty applies only to defects demonstrably attributable to ESP's manufacturing workmanship or materials supplied by ESP, within the agreed design and operating conditions.

The warranty does not cover defects, damage or failure caused by:

  • improper installation;
  • installation not performed or supervised by ESP where ESP supervision was contractually required;
  • improper operation;
  • operation outside specified design conditions;
  • misuse;
  • negligence;
  • unauthorized modification;
  • repair by unauthorized persons;
  • mechanical damage;
  • abnormal vibration;
  • excessive temperature or pressure;
  • chemical attack or corrosion outside specified material limits;
  • unsuitable process conditions;
  • fouling or contamination;
  • improper transportation after risk has transferred to the Client;
  • improper storage;
  • normal wear and tear;
  • consumable components;
  • failure of equipment supplied by third parties;
  • Client-provided materials or information; or
  • any other cause not attributable to ESP.

Where a valid warranty claim is established, ESP may, at its option and to the maximum extent permitted by applicable law:

  • repair the defective Product;
  • replace the defective Product or component;
  • re-manufacture the defective component; or
  • provide an appropriate technical correction.

The foregoing remedies shall constitute the Client's primary contractual remedies for a valid warranty claim unless otherwise expressly agreed in the applicable Contract.

21. Warranty Claim Procedure

The Client shall notify ESP in writing promptly after discovering an alleged warranty defect.

The notification shall include sufficient information to identify:

  • the Product;
  • serial number or tag number, where applicable;
  • date of Delivery;
  • operating conditions;
  • description of the alleged defect;
  • photographs and supporting evidence where available; and
  • relevant inspection or operating records.

The Client shall provide ESP reasonable access to the affected Product for inspection and investigation.

No repair, modification, dismantling or replacement of a claimed defective component shall be performed without prior written authorization from ESP where such action could affect ESP's ability to investigate the claim.

22. Warranty Limitations

Unless expressly agreed otherwise in writing, warranty obligations shall not include:

  • removal of Products from service;
  • dismantling;
  • access arrangements;
  • scaffolding;
  • cranes or lifting equipment;
  • reinstallation;
  • site restoration;
  • transportation;
  • accommodation;
  • travel expenses;
  • production losses;
  • plant shutdown costs; or
  • other consequential or indirect costs.

Such costs shall remain the Client's responsibility unless expressly included in the applicable Contract.

23. Intellectual Property

All intellectual property rights owned or developed by ESP, including but not limited to:

  • engineering methodologies;
  • calculations;
  • designs;
  • drawings;
  • CAD files;
  • 3D models;
  • manufacturing methods;
  • technical procedures;
  • know-how;
  • software;
  • documentation;
  • templates;
  • and proprietary technical information

shall remain the property of ESP unless expressly transferred by a written agreement signed by an authorized representative of ESP.

Unless expressly agreed otherwise, delivery of technical documents does not constitute transfer of ownership or intellectual property rights.

The Client shall not reproduce, disclose, distribute, reverse engineer, manufacture through third parties, commercialize or otherwise use ESP's proprietary technical information for purposes other than the specific project for which it was supplied.

24. Confidentiality

Each party shall protect confidential information received from the other party.

ESP's confidential information includes, without limitation, proprietary drawings, designs, calculations, manufacturing information, pricing, commercial conditions, technical methods, know-how and other non-public information.

The Client shall not disclose ESP confidential information to third parties except to its personnel, professional advisers or contractors who require such information for the relevant project and are subject to appropriate confidentiality obligations.

The confidentiality obligations shall survive completion or termination of the Contract for so long as the relevant information remains confidential and proprietary.

25. Compliance and Regulatory Requirements

Each party shall be responsible for complying with laws and regulations applicable to its own activities and obligations.

The Client shall obtain all import licenses, permits, customs clearances, governmental approvals and other authorizations required in the destination country unless the applicable Incoterm or Contract expressly assigns such responsibility to ESP.

ESP shall not be required to perform any action that would violate applicable mandatory law, governmental restrictions or legally binding regulatory requirements.

Where performance becomes unlawful or commercially impossible due to applicable governmental restrictions, sanctions, export/import controls or other mandatory legal requirements, ESP may suspend performance until the matter is resolved or, where legally permitted, terminate the affected portion of the Contract without being liable for consequences arising solely from such legal restriction.

26. Force Majeure

ESP shall not be liable for delay, non-performance or increased costs to the extent caused by events beyond its reasonable control.

Force Majeure events may include, without limitation:

  • natural disasters;
  • earthquake;
  • flood;
  • fire;
  • epidemic or pandemic;
  • war;
  • civil unrest;
  • terrorism;
  • governmental action;
  • changes in law;
  • sanctions or legally applicable trade restrictions;
  • export or import restrictions;
  • port closure;
  • transportation disruption;
  • energy shortages;
  • major utility interruption;
  • labor disputes;
  • supplier failure caused by an uncontrollable event; and
  • other events beyond ESP's reasonable control.

Where a Force Majeure event occurs, ESP shall be entitled to a reasonable extension of time and recovery of additional costs to the extent permitted by the applicable Contract and law.

If a Force Majeure event continues for a prolonged period and materially prevents performance, ESP may terminate or suspend the affected portion of the Contract upon written notice, subject to applicable law.

27. Cancellation and Termination

The Client shall not cancel an accepted order without ESP's prior written consent.

If cancellation is accepted by ESP, the Client shall be responsible, to the maximum extent permitted by applicable law, for all costs and liabilities incurred by ESP in connection with the cancelled order, including:

  • engineering costs;
  • purchased materials;
  • committed supplier costs;
  • manufacturing costs;
  • work in progress;
  • inspection and testing costs;
  • packaging costs;
  • storage costs;
  • transportation commitments;
  • subcontractor costs;
  • cancellation charges; and
  • other reasonable costs directly resulting from the cancellation.

For custom-engineered or custom-manufactured Products, cancellation after commencement of engineering, procurement or manufacturing may be subject to substantial cancellation charges reflecting the actual commitments and losses incurred by ESP.

28. Suspension

ESP may suspend performance where:

  • payment is overdue;
  • required information or approval has not been provided;
  • the Client materially breaches the Contract;
  • the Site is unsafe;
  • the Client fails to satisfy agreed prerequisites; or
  • continued performance would expose ESP to material legal, safety or commercial risk.

Suspension shall not waive ESP's other contractual or legal rights.

Any schedule extension and additional costs arising from suspension caused by the Client shall be recoverable from the Client to the extent permitted by the applicable Contract and law.

29. Limitation of Liability

To the maximum extent permitted by applicable law, ESP shall not be liable for any indirect, incidental, special, exemplary, punitive or consequential loss or damage, including without limitation:

  • loss of profit;
  • loss of revenue;
  • loss of production;
  • loss of business;
  • loss of contracts;
  • loss of opportunity;
  • business interruption;
  • plant shutdown;
  • loss of use;
  • loss of anticipated savings; or
  • consequential economic losses.

Subject to mandatory applicable law and except for liabilities that cannot lawfully be limited, ESP's aggregate liability arising out of or in connection with a Contract shall not exceed the amount actually paid to ESP under the affected Contract for the specific Products or Services giving rise to the claim.

No claim shall entitle the Client to recover more than once for the same loss.

Nothing in these Terms shall be interpreted as excluding or limiting liability to the extent such exclusion or limitation is prohibited by mandatory applicable law.

30. Claims and Notice

Any claim against ESP shall be submitted in writing and shall contain sufficient details and supporting documentation.

Claims shall be submitted as soon as reasonably practicable after the Client becomes aware, or should reasonably have become aware, of the relevant event.

Failure to provide timely and sufficiently detailed notice may prejudice ESP's ability to investigate and mitigate the alleged loss and may be taken into account in determining the validity and extent of the claim, subject to applicable law.

31. Site and Operational Conditions

ESP's technical recommendations, calculations and engineering activities are based on the operating conditions, process data, material specifications and other information provided by the Client.

The Client shall ensure that actual operating conditions remain within the agreed design parameters.

ESP shall not be responsible for failure resulting from operation outside the agreed design conditions.

Where process conditions, feed composition, pressure, temperature, flow rate, chemical environment or other operating parameters differ materially from those provided to ESP, the Client shall promptly notify ESP.

Any resulting engineering or commercial consequences shall be subject to review and may constitute a Change Order.

32. Documentation

ESP shall provide the documentation expressly included in the applicable Contract.

Any additional documentation, certification, legalization, translation, special formatting, duplicate documentation or third-party certification not expressly included in the original scope may be subject to additional charges.

Documents shall be provided in the format and within the schedule agreed in the applicable Contract.

33. Third-Party Products and Services

Where Products or components supplied by third parties are incorporated into ESP's scope, ESP's responsibility for such third-party items shall be limited to the extent expressly agreed in the applicable Contract.

Where a third-party manufacturer's warranty is applicable, ESP may pass such warranty through to the Client to the extent available.

ESP shall not be responsible for defects arising solely from third-party products where such defects are outside ESP's control, subject to applicable law and the terms of the Contract.

34. No Waiver

Failure by ESP to exercise any right or remedy shall not constitute a waiver of that right or remedy.

Any waiver shall be valid only if made in writing by an authorized representative of ESP.

A waiver relating to one breach shall not constitute a waiver of any subsequent or other breach.

35. Severability

If any provision of these Terms or the applicable Contract is determined to be invalid, illegal or unenforceable, such provision shall be modified or interpreted to the minimum extent necessary to make it enforceable to the extent permitted by applicable law.

The remaining provisions shall remain in full force and effect.

36. Entire Agreement

The applicable Contract, together with the documents expressly incorporated into it, constitutes the entire agreement between ESP and the Client concerning the relevant transaction and supersedes prior discussions, correspondence, proposals and understandings concerning the same subject matter, except to the extent expressly preserved in writing.

37. Amendments

These Terms may be amended or updated by ESP from time to time.

Any amendment shall apply to future transactions unless expressly agreed otherwise.

For an existing Contract, the version applicable to that Contract shall remain controlling unless the parties expressly agree otherwise in writing.

38. Governing Law

These Terms, the applicable Contract and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Islamic Republic of Iran, without prejudice to any mandatory legal provisions that cannot lawfully be excluded.

39. Jurisdiction

Any dispute, claim or controversy arising out of or in connection with these Terms or an applicable Contract shall be subject to the jurisdiction of the competent courts of Tehran, Iran, to the maximum extent permitted by applicable law.

The Client agrees that, where legally permissible, such courts shall have exclusive jurisdiction over disputes arising from or relating to the relevant transaction.

40. Language

Where these Terms or a Contract are issued in both English and Persian, the applicable Contract shall specify which language version shall prevail in the event of inconsistency.

Unless otherwise expressly agreed in the applicable Contract, the language governing the contractual relationship shall be the language expressly designated in the signed Contract.

41. Notices

Contractual notices shall be made in writing and delivered through the communication methods expressly agreed in the applicable Contract.

Notices relating to technical, commercial, financial or contractual matters shall be sent to the designated contact persons identified in the Contract or official correspondence.

Informal communications through unauthorized channels shall not amend contractual obligations.

42. No Authority of Unauthorized Personnel

No employee, agent, representative, subcontractor or other person acting on behalf of ESP shall have authority to amend, waive or otherwise modify these Terms or an applicable Contract unless such authority has been expressly granted by an authorized representative of ESP.

Final Provision

These Terms are intended to establish the general commercial framework applicable to transactions between Euroslot Pars and its Clients.

Specific commercial, technical, delivery, warranty, payment, installation and project conditions shall be governed by the applicable Contract, Quotation, Purchase Order and other documents expressly accepted by ESP.

Where a project-specific written agreement contains provisions that expressly differ from these Terms, the project-specific provisions shall prevail to the extent of the conflict.

این شرایط و ضوابط تجاری («شرایط») بر کلیه فعالیت‌های تجاری یورواسلات پارس («یورواسلات پارس»، «ESP»، «شرکت»، «ما» یا «شرکت ما») شامل ارائه پیشنهاد قیمت، فروش، طراحی و مهندسی، ساخت، تأمین، تحویل، نصب، نظارت بر نصب، بازرسی، آزمون، مساعدت در راه‌اندازی، خدمات فنی و سایر خدمات مورد توافق اعمال می‌شود.

این شرایط عمدتاً برای معاملات بنگاه به بنگاه (B2B) در زمینه تجهیزات و محصولات صنعتی، قطعات، محصولات مهندسی و خدمات مرتبط، از جمله و بدون محدودیت، اینترنال‌های راکتور (Reactor Internals)، اینترنال‌های جداسازی (Separation Internals)، اینترنال‌های برج (Tower Internals)، سیستم‌های فیلتراسیون (Filtration)، تجهیزات خاص (Special Equipment)، پکیج‌های فرآیندی (Packages) و سایر محصولات و خدمات مهندسی یا ساخت مورد استفاده قرار می‌گیرد.

این شرایط لازم‌الاجرا خواهد بود، مگر آنکه صراحتاً توسط یک توافق کتبی که به امضای نماینده مجاز یورواسلات پارس رسیده باشد، جایگزین یا اصلاح شده باشد.

هیچ‌یک از شرایط مندرج در سفارش خرید مشتری، ثبت تأمین‌کننده، سامانه خرید، مشخصات فنی، شرایط استاندارد خرید مشتری یا هر سند دیگری، موجب تغییر یا بی‌اعتباری این شرایط نخواهد شد، مگر آنکه صراحتاً به‌صورت کتبی توسط نماینده مجاز یورواسلات پارس پذیرفته شده باشد.

۲. تعاریف

در این شرایط:

«شرکت» یا «ESP» به معنای یورواسلات پارس است.

«مشتری» یا «خریدار» به شخص حقوقی خریدارِ محصولات یا خدمات از یورواسلات پارس اطلاق می‌شود.

«محصولات» شامل کلیه کالاها، تجهیزات، قطعات، مجموعه‌ها، محصولات صنعتی، اقلام ساختنی یا محصولات مهندسی تأمینشده توسط یورواسلات پارس است.

«خدمات» شامل طراحی و مهندسی، بازرسی، آزمون، نصب، نظارت بر نصب، مساعدت در راه‌اندازی، پشتیبانی فنی و سایر خدماتی است که صراحتاً مورد توافق قرار گرفته باشد.

«قرارداد» به قرارداد کتبی، توافقنامه خرید یا هر سند الزام‌آور دیگری اطلاق می‌شود که توسط یورواسلات پارس پذیرفته شده باشد.

«سفارش خرید» یا «PO» به سفارش خرید صادر‌شده توسط مشتری گفته می‌شود که صراحتاً توسط یورواسلات پارس پذیرفته شده باشد.

«پیشنهاد قیمت» یا «پیشنهاد تجاری» به پیشنهاد کتبی تجاری صادر‌شده توسط یورواسلات پارس اطلاق می‌شود.

«اسناد فنی» شامل نقشه‌ها، مشخصات فنی، دیتاشیت‌ها، محاسبات، گزارش‌ها، دستورالعمل‌ها، رویه‌ها، مدل‌ها و سایر اطلاعات فنی ارائه‌شده توسط یورواسلات پارس است.

«سایت» به محل تعیینشده توسط مشتری برای تحویل، نصب، بازرسی، راه‌اندازی یا ارائه خدمات اطلاق می‌شود.

«تحویل» مطابق قرارداد، سفارش خرید، پیشنهاد قیمت و/یا اینکوترم مورد توافق تعیین می‌شود.

«روز کاری» به روز کاری محل فعالیت یورواسلات پارس، به استثنای تعطیلات رسمی، گفته می‌شود.

۳. تشکیل و پذیرش قرارداد

قرارداد پس از پذیرش کتبی توسط یورواسلات پارس یا تحقق هر رویداد دیگری که یورواسلات پارس صراحتاً به عنوان پذیرش تعیین کرده باشد، لازم‌الاجرا خواهد شد.

یورواسلات پارس تا زمانی که سفارش خرید مشتری را صراحتاً نپذیرفته باشد، متعهد به اجرای آن نخواهد بود.

هر پیشنهاد قیمت صادر‌شده توسط یورواسلات پارس تابع مدت اعتبار مندرج در آن است. مگر آنکه کتبی خلاف آن اعلام شده باشد، پیشنهاد قیمت به منزله پذیرش سفارش خرید یا ایجاد تعهد قطعی برای تأمین کالا نخواهد بود.

یورواسلات پارس حق دارد اشتباهات تایپی، نوشتاری، فنی یا قیمتی موجود در پیشنهاد قیمت را پیش از پذیرش اصلاح نماید.

۴. اولویت اسناد قراردادی

مگر آنکه صراحتاً به‌صورت کتبی خلاف آن توافق شده باشد، ترتیب اولویت اسناد به شرح زیر خواهد بود:

  • ۱. قرارداد امضاشده یا توافقنامه کتبی؛
  • ۲. اصلاحیه‌ها یا دستور تغییرهای (Change Orders) کتبی امضاشده توسط نمایندگان مجاز؛
  • ۳. پیشنهاد تجاری یا پیشنهاد قیمت پذیرفته‌شده یورواسلات پارس؛
  • ۴. سفارش خرید پذیرفته‌شده، صرفاً در حدودی که صراحتاً توسط یورواسلات پارس پذیرفته شده باشد؛
  • ۵. مشخصات فنی و نقشه‌های تأییدشده؛
  • ۶. این شرایط و ضوابط تجاری؛
  • ۷. سایر اسنادی که صراحتاً به آن‌ها ارجاع داده شده است.

هیچ سندی که توسط مشتری صادر شده باشد صرفاً به دلیل صدور در تاریخ متأخرتر، بر سند صادر‌شده توسط یورواسلات پارس مقدم نخواهد شد.

در صورت تعارض، سند دارای اولویت بالاتر، صرفاً در حدود تعارض، حاکم خواهد بود.

۵. مشخصات محصول و مهندسی

محصولات مطابق مشخصات صراحتاً مندرج در قرارداد، پیشنهاد قیمت، نقشه‌های تأییدشده، دیتاشیت‌ها یا سایر اسناد پذیرفته‌شده توسط یورواسلات پارس ساخته یا تأمین خواهند شد.

یورواسلات پارس مسئولیتی در قبال الزامات، مشخصات، ابعاد، شرایط بهره‌برداری یا معیارهای عملکردی که صراحتاً به شرکت اعلام و توسط آن پذیرفته نشده‌اند نخواهد داشت.

تمام اطلاعات ارائه‌شده توسط مشتری باید دقیق، کامل و متناسب با کاربرد موردنظر باشد.

یورواسلات پارس حق خواهد داشت، مگر آنکه راستی‌آزمایی صراحتاً جزو دامنه کاری آن باشد، بر اطلاعات ارائه‌شده توسط مشتری اتکا کند.

یورواسلات پارس مسئول پیامدهای ناشی از اطلاعات نادرست، ناقص، دیرهنگام یا گمراه‌کننده ارائه‌شده توسط مشتری نخواهد بود.

۶. مسئولیت‌های مشتری

مشتری موظف است کلیه اطلاعات، تأییدیه‌ها، نقشه‌ها، مشخصات، داده‌های عملیاتی، دسترسی‌ها، مجوزها، تصمیمات و همکاری‌های مورد نیاز برای اجرای قرارداد را در زمان مناسب در اختیار یورواسلات پارس قرار دهد.

هرگونه عدم اقدام، تأخیر یا قصور مشتری، حسب مورد، موجب تمدید زمان اجرای تعهدات یورواسلات پارس و مطالبه هزینه‌ها و مخارج اضافی خواهد بود.

مسئولیت صحت و کامل بودن تمام اطلاعات ارائه‌شده توسط مشتری بر عهده خود مشتری خواهد بود.

۷. قیمت‌ها و مالیات‌ها

مگر آنکه کتبی خلاف آن ذکر شده باشد، قیمت‌های اعلام‌شده توسط یورواسلات پارس صرفاً شامل دامنه کاری صراحتاً درج‌شده در پیشنهاد قیمت یا قرارداد مربوطه است.

هر کالا، خدمت، ماده، سند، بازرسی، آزمون، حمل‌ونقل، فعالیت نصب یا الزام دیگری که صراحتاً در دامنه کاری توافق‌شده درج نشده باشد، می‌تواند جداگانه محاسبه و مطالبه شود.

مالیات‌ها، عوارض، هزینه‌های گمرکی، هزینه‌های دولتی، مالیات‌های تکلیفی، هزینه‌های بانکی و سایر هزینه‌ها، مگر آنکه صراحتاً خلاف آن ذکر شده باشد، در قیمت اعلام‌شده منظور نشده‌اند.

هرگونه افزایش هزینه ناشی از تغییر قوانین، الزامات دولتی، مالیات، عوارض، هزینه حمل‌ونقل، هزینه مواد اولیه یا سایر شرایط پس از تاریخ پیشنهاد قیمت، در حدود قرارداد و قوانین قابل اعمال، می‌تواند موجب تعدیل قیمت شود.

۸. شرایط پرداخت

شرایط پرداخت، مراحل پرداخت، ارز، ترتیبات بانکی و سایر شرایط مالی، مطابق مفاد صریح قرارداد، پیشنهاد قیمت یا سفارش خرید پذیرفته‌شده توسط یورواسلات پارس خواهد بود.

تمام پرداخت‌ها باید به‌طور کامل و بدون کسر، تهاتر، ادعای متقابل یا نگهداری غیرمجاز انجام شود، مگر در مواردی که کسر یا withholding طبق قانون الزام‌آور باشد.

در صورت عدم پرداخت در سررسید، یورواسلات پارس می‌تواند، بدون خدشه به سایر حقوق قراردادی یا قانونی خود:

  • ساخت را متوقف کند؛
  • فعالیت‌های مهندسی را متوقف کند؛
  • تحویل را متوقف کند؛
  • خدمات را تعلیق کند؛
  • اسناد را نزد خود نگه دارد؛
  • حمل را به تعویق بیندازد؛

اعزام نیرو به سایت را متوقف کند؛ و/یا

هزینه‌های اضافی ناشی از این تعلیق یا تأخیر را مطالبه نماید.

هرگونه توقف پرداخت ناشی از مشتری موجب تمدید متناسب برنامه تحویل یا تکمیل خواهد شد.

۹. مهندسی، نقشه‌ها و تأییدیه‌ها

در مواردی که تأیید نقشه‌ها، اسناد یا اطلاعات فنی توسط مشتری لازم باشد، مشتری موظف است تأیید یا نظرات خود را در مهلت تعیینشده توسط یورواسلات پارس یا قرارداد ارائه کند.

هرگونه تأخیر در تأیید مشتری، به میزان اثرگذاری بر برنامه، موجب تمدید خودکار زمان خواهد شد.

پس از تأیید نقشه، مشخصات یا سند توسط مشتری، یورواسلات پارس حق خواهد داشت عملیات را بر مبنای همان تأیید ادامه دهد.

هرگونه تغییر بعدی مورد درخواست مشتری می‌تواند دستور تغییر (Change Order) محسوب شده و موجب افزایش هزینه و تمدید زمان شود.

۱۰. تغییرات و تغییر در دامنه کاری

هیچ‌گونه تغییر، اضافه، حذف، انحراف یا اصلاح در دامنه کاری توافق‌شده برای یورواسلات پارس الزام‌آور نخواهد بود، مگر آنکه توسط نماینده مجاز شرکت به‌صورت کتبی تأیید شده باشد.

تغییر درخواست‌شده توسط مشتری می‌تواند موجب هزینه‌های اضافی مربوط به موارد زیر شود:

  • مهندسی؛
  • مواد؛
  • ساخت؛
  • بازرسی و آزمون؛
  • حمل‌ونقل؛

هزینه‌های سایت؛ و/یا

تمدید برنامه تحویل یا تکمیل.

یورواسلات پارس تا زمان توافق کتبی درباره آثار تجاری و فنی تغییر، الزامی به اجرای آن نخواهد داشت.

دستورهای شفاهی، مکاتبات غیررسمی یا دستورهای اشخاص فاقد اختیار، موجب اصلاح قرارداد نخواهد شد.

۱۱. ساخت

یورواسلات پارس محصولات را مطابق الزامات فنی توافق‌شده و رویه‌های تولید و کنترل کیفیت مربوطه تولید خواهد کرد.

برنامه ساخت منوط به دریافت به‌موقع اطلاعات، تأییدیه‌ها، پرداخت‌ها، مواد و همکاری مشتری است.

یورواسلات پارس مسئول تأخیر ناشی از موارد زیر نخواهد بود:

  • تأخیر مشتری؛
  • تأخیر در تأیید؛
  • تغییرات درخواست‌شده توسط مشتری؛
  • عدم پرداخت؛
  • تأخیر بازرسی شخص ثالث؛
  • فورس‌ماژور؛
  • اختلال حمل‌ونقل؛
  • محدودیت‌های دولتی؛ یا

سایر شرایط خارج از کنترل معقول شرکت.

۱۲. تضمین کیفیت و بازرسی

یورواسلات پارس فعالیت‌های کنترل کیفیت را مطابق قرارداد، Inspection and Test Plan یا ITP، مشخصات فنی و رویه‌های کیفیت مربوطه انجام خواهد داد.

در صورتی که بازرسی توسط مشتری یا بازرس شخص ثالث لازم باشد، مشتری موظف است حضور بازرس را در زمان توافق‌شده تضمین کند.

در صورتی که مشتری یا بازرس تعیینشده بدون اطلاع قبلی کافی در زمان توافق‌شده حاضر نشود، یورواسلات پارس می‌تواند بازرسی یا فعالیت ساخت مربوطه را ادامه دهد و مسئول تأخیر ناشی از عدم حضور بازرس نخواهد بود.

بازرسی، آزمون یا مستندات اضافی که صراحتاً در دامنه کاری توافق‌شده وجود نداشته باشد، می‌تواند مشمول هزینه جداگانه باشد.

۱۳. عدم انطباق

هرگونه ادعای عدم انطباق باید همراه با شواهد فنی کافی و به‌صورت کتبی به یورواسلات پارس اعلام شود.

مشتری باید دسترسی لازم به محصول، سوابق، اطلاعات عملیاتی، تصاویر، گزارش‌های بازرسی و سایر اطلاعات مورد نیاز برای بررسی را فراهم کند.

یورواسلات پارس حق بررسی و تعیین منشأ عدم انطباق ادعایی را خواهد داشت.

در صورتی که وجود عیب ساخت یا عیب ناشی از کیفیت کار یورواسلات پارس در دوره گارانتی تأیید شود، تعهد شرکت صرفاً محدود به راهکارهای تعیینشده در بخش گارانتی خواهد بود.

۱۴. بسته‌بندی، علامتگذاری و نگهداری

یورواسلات پارس محصولات را مطابق الزامات بسته‌بندی توافق‌شده در قرارداد بسته‌بندی خواهد کرد.

مگر آنکه صراحتاً خلاف آن توافق شده باشد، مسئولیت شرایط نگهداری، حفاظت یا نگهداری بلندمدت پس از تحویل بر عهده یورواسلات پارس نخواهد بود.

مشتری موظف است پس از دریافت محصول، بسته‌بندی و کالا را بررسی و اقدامات لازم برای جلوگیری از آسیب ناشی از نگهداری، جابهجایی یا شرایط محیطی نامناسب را انجام دهد.

هرگونه بسته‌بندی خاص، حفاظت ضدخوردگی، Preservation یا الزام ویژه نگهداری که در دامنه کاری اولیه نباشد، می‌تواند جداگانه محاسبه شود.

۱۵. تحویل و Incoterms®

تحویل بر اساس شرط تحویل مندرج در قرارداد، پیشنهاد قیمت یا سفارش خرید مربوطه انجام خواهد شد.

در صورت استفاده از اینکوترمز (Incoterms)، تفسیر آن مطابق Incoterms® 2020 و محل یا بندر مشخص‌شده در قرارداد خواهد بود.

از جمله Incotermهای قابل استفاده می‌توان به موارد زیر اشاره کرد:

  • EXW — Ex Works
  • FCA — Free Carrier
  • FOB — Free On Board
  • CIF — Cost, Insurance and Freight
  • CIP — Carriage and Insurance Paid To
  • DAP — Delivered at Place

و سایر قواعد Incoterms® 2020 که صراحتاً مورد توافق قرار گیرند.

هیچ Incotermی صرفاً به دلیل استفاده در معاملات قبلی، به‌صورت ضمنی حاکم نخواهد بود.

اینکوترمز (Incoterms)، محل یا بندر مشخص و شرایط خاص تحویل باید صراحتاً در سند تجاری مربوطه درج شود.

قواعد Incoterms® 2020 مسئولیت‌ها، هزینه‌ها و ریسک‌های مشخصی را میان فروشنده و خریدار تخصیص می‌دهند؛ بنابراین قاعده انتخاب‌شده و محل مشخص‌شده، بخش اساسی معامله خواهند بود.

۱۶. برنامه تحویل و تأخیر

هر تاریخ تحویل یا تکمیل بر اساس مفروضات و شرایط مندرج در قرارداد یا پیشنهاد قیمت تعیین می‌شود.

مگر آنکه صراحتاً کتبی خلاف آن ذکر شده باشد، تاریخ تحویل نباید به عنوان تضمین مطلق و مستقل از تعهدات مشتری تفسیر شود.

در صورت تأخیر ناشی مستقیم یا غیرمستقیم از موارد زیر، یورواسلات پارس حق تمدید زمان خواهد داشت:

  • عدم پرداخت؛
  • تأخیر در تأیید؛
  • تأخیر در ارائه اطلاعات فنی؛
  • تغییرات مشتری؛
  • تأخیر در بازرسی؛
  • آماده نبودن سایت؛
  • اختلال حمل‌ونقل؛
  • اقدامات دولتی؛
  • محدودیت‌های واردات/صادرات؛
  • فورس‌ماژور؛
  • تأخیر اشخاص ثالث خارج از کنترل شرکت؛ یا

سایر وقایع ناشی از مشتری یا خارج از کنترل شرکت.

هزینه‌های اضافی ناشی از تأخیر مشتری قابل مطالبه از مشتری خواهد بود.

۱۷. نصب و نظارت بر نصب

یورواسلات پارس نصب، نظارت بر نصب، مساعدت در راه‌اندازی یا خدمات فنی را صرفاً در حدود دامنه کاری صراحتاً مندرج در قرارداد انجام خواهد داد.

در صورتی که خدمات ESP صرفاً شامل Supervision باشد، مسئولیت اجرای واقعی نصب بر عهده مشتری یا پیمانکار تعیینشده توسط وی خواهد بود.

مگر آنکه صراحتاً در دامنه کاری یورواسلات پارس درج شده باشد، مشتری مسئول تأمین موارد زیر است:

  • دسترسی ایمن و بدون مانع به سایت؛
  • مجوزهای لازم کار؛
  • جرثقیل و تجهیزات بالابری؛
  • داربست؛
  • امکانات موقت؛
  • برق؛
  • روشنایی؛
  • نیروی کار محلی واجد شرایط؛
  • ابزار و مواد مصرفی؛
  • حمل‌ونقل داخل سایت؛
  • محل نگهداری؛
  • اقامت و حمل‌ونقل پرسنل ESP در صورت توافق بر عهده مشتری؛ و

سایر امکاناتی که صراحتاً بر عهده مشتری قرار گرفته‌اند.

یورواسلات پارس مسئول اقدامات، قصور، کیفیت کار یا عملکرد ایمنی پرسنل، پیمانکاران یا اشخاص ثالث تحت کنترل مستقیم خود نخواهد بود.

۱۸. آماده بودن سایت

مشتری موظف است پیش از اعزام نیرو‌های یورواسلات پارس، سایت را به‌طور کامل آماده نماید.

مگر آنکه کتبی خلاف آن توافق شده باشد، مشتری باید حداقل ۱۴ روز تقویمی پیش از تاریخ برنامه‌ریزی‌شده برای اعزام، آماده بودن سایت را به‌صورت کتبی تأیید کند.

آماده بودن سایت حسب مورد شامل موارد زیر است:

  • دسترسی به محل کار؛
  • مجوزهای لازم؛
  • تکمیل فعالیت‌های مقدماتی؛
  • آماده بودن تجهیزات بالابری؛
  • تکمیل داربست؛
  • شرایط ایمن کار؛
  • تأمین Utilityهای لازم؛
  • فراهم بودن شرایط Shutdown یا Isolation؛
  • آماده بودن تجهیز موردنظر برای عملیات؛
  • انجام HSE Induction و تأییدیه‌های مربوطه؛ و

حضور پرسنل مشتری مورد نیاز برای هماهنگی.

در صورتی که سایت هنگام رسیدن پرسنل ESP آماده نباشد، یورواسلات پارس می‌تواند خدمات را تعلیق یا به تعویق بیندازد.

هزینه‌های ناشی از این وضعیت، از جمله Standby، Demobilization، Remobilization، اقامت اضافی، حمل‌ونقل، نیروی انسانی، مهندسی و سایر هزینه‌های متعارف، مطابق قرارداد و قوانین قابل اعمال، قابل مطالبه از مشتری خواهد بود.

۱۹. الزامات HSE

مشتری باید الزامات Health, Safety and Environment یا HSE سایت را پیش از اعزام نیرو در اختیار یورواسلات پارس قرار دهد.

مشتری مسئول فراهم کردن شرایط کار ایمن، مجوزهای لازم، کنترل دسترسی و ترتیبات اضطراری سایت است.

پرسنل ESP ملزم به رعایت قوانین HSE سایت هستند که به‌طور مناسب به آن‌ها ابلاغ شده باشد.

در صورت وجود شرایطی که از نظر معقول برای پرسنل شرکت خطر جدی ایجاد کند، یورواسلات پارس حق توقف کار را خواهد داشت.

آثار زمانی و مالی ناشی از شرایط ناایمن سایت مطابق قرارداد مربوطه تعیین خواهد شد.

۲۰. گارانتی

مگر آنکه صراحتاً در قرارداد خلاف آن تعیین شده باشد، مدت، دامنه و شرایط گارانتی مطابق قرارداد، پیشنهاد قیمت یا سفارش خرید مربوطه خواهد بود.

مگر آنکه در قرارداد صراحتاً خلاف آن توافق شده باشد، دوره گارانتی از تاریخ تحویل آغاز خواهد شد.

نصب، راه‌اندازی، اولین بهره‌برداری، تست پذیرش یا شروع بهره‌برداری تجاری موجب به تعویق افتادن شروع گارانتی نخواهد شد، مگر آنکه صراحتاً به‌صورت کتبی توافق شده باشد.

گارانتی صرفاً شامل عیوبی خواهد بود که به‌طور قابل اثبات ناشی از ساخت یا مواد تأمینشده توسط یورواسلات پارس بوده و در محدوده شرایط طراحی و بهره‌برداری توافق‌شده ایجاد شده باشند.

گارانتی شامل عیوب، آسیب‌ها یا خرابی‌های ناشی از موارد زیر نخواهد بود:

  • نصب نادرست؛
  • نصب انجام‌شده بدون نظارت ESP در مواردی که طبق قرارداد نظارت ESP لازم بوده است؛
  • بهره‌برداری نادرست؛
  • بهره‌برداری خارج از شرایط طراحی؛
  • استفاده نادرست؛
  • سهل‌انگاری؛
  • تغییرات غیرمجاز؛
  • تعمیر توسط افراد غیرمجاز؛
  • آسیب مکانیکی؛
  • ارتعاش غیرعادی؛
  • دما یا فشار بیش از حدود تعیینشده؛
  • حمله شیمیایی یا خوردگی خارج از محدوده متریال مشخص‌شده؛
  • شرایط نامناسب فرآیندی؛
  • گرفتگی (Fouling) یا آلودگی؛
  • حمل نامناسب پس از انتقال ریسک به مشتری؛
  • نگهداری نامناسب؛
  • استهلاک عادی؛
  • قطعات مصرفی؛
  • خرابی تجهیزات تأمینشده توسط اشخاص ثالث؛
  • مواد یا اطلاعات ارائه‌شده توسط مشتری؛ یا
  • هر علت دیگری که قابل انتساب به یورواسلات پارس نباشد.

در صورت تأیید معتبر بودن ادعای گارانتی، یورواسلات پارس می‌تواند، در حدود مجاز قانون و بنا بر تشخیص خود:

  • ۱. محصول معیوب را تعمیر کند؛
  • ۲. محصول یا قطعه معیوب را تعویض کند؛
  • ۳. قطعه معیوب را مجدداً تولید کند؛ یا
  • ۴. اصلاح فنی مناسب ارائه نماید.

راهکارهای فوق، مگر آنکه صراحتاً در قرارداد خلاف آن توافق شده باشد، راهکارهای اصلی قراردادی مشتری در خصوص یک ادعای معتبر گارانتی خواهند بود.

۲۱. فرآیند ادعای گارانتی

مشتری باید پس از کشف عیب ادعایی، موضوع را در اسرع وقت به‌صورت کتبی به یورواسلات پارس اعلام کند.

اعلام باید شامل اطلاعات کافی برای شناسایی موارد زیر باشد:

  • محصول؛
  • شماره سریال یا شماره تگ (Tag Number) در صورت وجود؛
  • تاریخ تحویل؛
  • شرایط بهره‌برداری؛
  • شرح عیب ادعایی؛
  • تصاویر و مدارک موجود؛ و
  • سوابق بازرسی یا بهره‌برداری مرتبط.

مشتری باید امکان دسترسی معقول به محصول جهت بازرسی و بررسی را برای ESP فراهم کند.

در صورتی که تعمیر، تغییر، دمونتاژ یا تعویض قطعه معیوب بتواند توانایی ESP برای بررسی ادعا را تحت تأثیر قرار دهد، بدون مجوز کتبی قبلی شرکت نباید انجام شود.

۲۲. محدودیت‌های گارانتی

مگر آنکه صراحتاً خلاف آن توافق شده باشد، گارانتی شامل موارد زیر نخواهد بود:

  • خارج کردن محصول از سرویس؛
  • دمونتاژ؛
  • فراهم کردن دسترسی؛
  • داربست؛
  • جرثقیل و تجهیزات بالابری؛
  • نصب مجدد؛
  • بازسازی محل؛
  • حمل‌ونقل؛
  • اقامت؛
  • هزینه سفر؛
  • خسارت ناشی از توقف تولید؛
  • هزینه Shutdown کارخانه؛ یا
  • سایر هزینه‌های غیرمستقیم یا تبعی.

این هزینه‌ها بر عهده مشتری خواهد بود، مگر آنکه صراحتاً در قرارداد مربوطه بر عهده ESP گذاشته شده باشد.

۲۳. مالکیت فکری

تمام حقوق مالکیت فکری متعلق به یورواسلات پارس یا ایجادشده توسط آن، از جمله و بدون محدودیت:

  • روش‌های مهندسی؛
  • محاسبات؛
  • طراحی‌ها؛
  • نقشه‌ها؛
  • فایل‌های کد (CAD)؛
  • مدل‌های سه‌بعدی؛
  • روش‌های ساخت؛
  • دستورالعمل‌های فنی؛
  • دانش فنی؛
  • نرم‌افزار؛
  • مستندات؛
  • قالب‌ها؛ و
  • اطلاعات فنی اختصاصی

متعلق به یورواسلات پارس باقی خواهد می‌ماند، مگر آنکه انتقال آن صراحتاً در یک توافق کتبی به امضای نماینده مجاز شرکت صورت گرفته باشد.

ارائه اسناد فنی به مشتری به‌خودی‌خود به معنای انتقال مالکیت یا حقوق مالکیت فکری نخواهد بود.

مشتری حق تکثیر، افشا، توزیع، مهندسی معکوس، ساخت توسط اشخاص ثالث، تجاری‌سازی یا استفاده از اطلاعات فنی اختصاصی ESP را برای اهدافی غیر از پروژه‌های که اطلاعات برای آن ارائه شده است نخواهد داشت، مگر با موافقت کتبی ESP.

۲۴. محرمانگی

هر یک از طرفین موظف است اطلاعات محرمانه دریافت‌شده از طرف دیگر را حفاظت نماید.

اطلاعات محرمانه ESP شامل، بدون محدودیت، نقشه‌های اختصاصی، طراحی‌ها، محاسبات، اطلاعات ساخت، قیمت‌ها، شرایط تجاری، روش‌های فنی، دانش فنی و سایر اطلاعات غیرعمومی خواهد بود.

مشتری حق افشای اطلاعات محرمانه ESP را به اشخاص ثالث ندارد، مگر برای کارکنان، مشاوران حرف‌های یا پیمانکارانی که برای اجرای پروژه به آن اطلاعات نیاز دارند و مشمول تعهدات محرمانگی مناسب هستند.

تعهدات محرمانگی پس از پایان یا خاتمه قرارداد نیز تا زمانی که اطلاعات مربوطه محرمانه و اختصاصی باقی بمانند، ادامه خواهد داشت.

۲۵. الزامات قانونی و مقرراتی

هر طرف مسئول رعایت قوانین و مقررات قابل اعمال بر فعالیت‌ها و تعهدات خود خواهد بود.

مشتری مسئول دریافت کلیه مجوزهای واردات، مجوزها، ترخیص گمرکی، تأییدیه‌های دولتی و سایر مجوزهای مورد نیاز در کشور مقصد خواهد بود، مگر آنکه طبق اینکوترمز (Incoterms) یا قرارداد صراحتاً این مسئولیت بر عهده ESP قرار گرفته باشد.

یورواسلات پارس ملزم به انجام هیچ اقدامی که ناقض قانون آمره، محدودیت دولتی یا الزامات قانونی لازم‌الاجرا باشد، نخواهد بود.

در صورتی که اجرای قرارداد به دلیل محدودیت‌های قانونی، دولتی، تحریمی، کنترل صادرات/واردات یا سایر الزامات قانونی لازم‌الاجرا غیرقانونی یا از نظر قانونی غیرممکن شود، یورواسلات پارس می‌تواند تا رفع مانع اجرای تعهدات را تعلیق کرده و در صورت مجاز بودن طبق قانون، بخش متأثر قرارداد را بدون مسئولیت نسبت به پیامدهای ناشی صرفاً از آن محدودیت قانونی خاتمه دهد.

۲۶. فورس‌ماژور

یورواسلات پارس در قبال تأخیر، عدم اجرا یا افزایش هزینه‌ای که تا حد ناشی از وقایع خارج از کنترل معقول آن باشد، مسئول نخواهد بود.

موارد فورس‌ماژور می‌تواند شامل موارد زیر باشد:

  • بلایای طبیعی؛
  • زلزله؛
  • سیل؛
  • آتش‌سوزی؛
  • اپیدمی یا پاندمی؛
  • جنگ؛
  • ناآرامی مدنی؛
  • تروریسم؛
  • اقدامات دولتی؛
  • تغییر قوانین؛
  • تحریم‌ها یا محدودیت‌های تجاری قانونی قابل اعمال؛
  • محدودیت‌های صادرات یا واردات؛
  • تعطیلی بندر؛
  • اختلال حمل‌ونقل؛
  • کمبود انرژی؛
  • اختلال عمده تأسیسات (Utilities)؛
  • اختلافات کارگری؛
  • عدم توانایی تأمین‌کننده ناشی از یک رویداد خارج از کنترل؛ و
  • سایر وقایع خارج از کنترل معقول یورواسلات پارس.

در صورت وقوع فورس‌ماژور، یورواسلات پارس حق تمدید زمان و، در حدود قرارداد و قانون، مطالبه هزینه‌های اضافی را خواهد داشت.

چنانچه وضعیت فورس‌ماژور برای مدت طولانی ادامه یافته و اجرای بخش متأثر قرارداد را به‌طور اساسی غیرممکن کند، ESP می‌تواند با اعلام کتبی و در حدود مجاز قانون، بخش مربوطه را تعلیق یا خاتمه دهد.

۲۷. لغو و خاتمه

مشتری حق لغو سفارش پذیرفته‌شده را بدون موافقت کتبی قبلی یورواسلات پارس نخواهد داشت.

در صورت پذیرش لغو توسط ESP، مشتری موظف خواهد بود، در حدود حداکثر مجاز قانون، تمام هزینه‌ها و تعهدات ایجادشده توسط ESP در رابطه با سفارش لغو‌شده را پرداخت کند، از جمله:

  • هزینه‌های مهندسی؛
  • مواد خریداری‌شده؛
  • تعهدات ایجادشده نزد تأمین‌کنندگان؛
  • هزینه ساخت؛
  • کار در جریان ساخت؛
  • هزینه بازرسی و آزمون؛
  • هزینه بسته‌بندی؛
  • هزینه نگهداری؛
  • تعهدات حمل؛
  • هزینه پیمانکاران؛
  • هزینه‌های لغو قراردادهای مرتبط؛ و
  • سایر هزینه‌های متعارف و مستقیم ناشی از لغو.

در مورد محصولات مهندسی‌شده سفارشی یا ساخت سفارشی، لغو پس از شروع مهندسی، خرید یا ساخت می‌تواند مشمول هزینه لغو قابل توجهی متناسب با تعهدات و زیانهای واقعی ایجادشده برای ESP باشد.

۲۸. تعلیق

یورواسلات پارس می‌تواند اجرای تعهدات خود را در موارد زیر تعلیق کند:

  • سررسید شدن و عدم پرداخت؛
  • عدم ارائه اطلاعات یا تأییدیه‌های لازم؛
  • نقض اساسی قرارداد توسط مشتری؛
  • ناایمن بودن سایت؛
  • عدم انجام پیش‌شرط‌های توافق‌شده توسط مشتری؛ یا
  • ایجاد ریسک جدی حقوقی، ایمنی یا تجاری برای ESP.

تعلیق موجب اسقاط سایر حقوق قراردادی یا قانونی یورواسلات پارس نخواهد شد.

هرگونه تمدید برنامه و هزینه اضافی ناشی از تعلیقی که علت آن مشتری باشد، در حدود قرارداد و قانون قابل مطالبه خواهد بود.

۲۹. محدودیت مسئولیت

در حداکثر حدود مجاز قانون، یورواسلات پارس مسئول هیچ‌گونه خسارت غیرمستقیم، تبعی، اتفاقی، خاص، تنبیهی یا خسارات مشابه نخواهد بود؛ از جمله:

  • از دست رفتن سود؛
  • از دست رفتن درآمد؛
  • از دست رفتن تولید؛
  • از دست رفتن کسب‌وکار؛
  • از دست رفتن قراردادها؛
  • از دست رفتن فرصت؛
  • توقف فعالیت تجاری؛
  • Shutdown کارخانه؛
  • از دست رفتن امکان استفاده؛
  • از دست رفتن صرفه‌جویی مورد انتظار؛ یا
  • سایر خسارات اقتصادی تبعی.

با رعایت قوانین آمره قابل اعمال و به استثنای مسئولیت‌هایی که طبق قانون قابل محدود کردن نیستند، مجموع مسئولیت یورواسلات پارس ناشی از یا مرتبط با هر قرارداد، از مبلغی که واقعاً بابت محصولات یا خدمات مشخصی که منشأ ادعا بوده‌اند به یورواسلات پارس پرداخت شده است تجاوز نخواهد کرد.

مشتری بابت یک خسارت واحد حق مطالبه مضاعف نخواهد داشت.

هیچ‌یک از مفاد این شرایط نباید به نحوی تفسیر شود که مسئولیتی را که طبق قانون آمره قابل حذف یا محدود کردن نیست، حذف یا محدود نماید.

۳۰. ادعاها و اعلام خسارت

هرگونه ادعا علیه یورواسلات پارس باید به‌صورت کتبی و همراه با جزئیات و مستندات کافی ارائه شود.

ادعا باید در اولین فرصت معقول پس از آگاهی مشتری، یا زمانی که عرفاً باید از موضوع مطلع می‌شده، ارائه گردد.

عدم ارائه به‌موقع و کافی اطلاعات می‌تواند توانایی ESP برای بررسی و کاهش خسارت ادعایی را مختل کند و، در حدود قانون، در تعیین اعتبار و میزان ادعا مورد توجه قرار گیرد.

۳۱. شرایط سایت و بهره‌برداری

توصیه‌های فنی، محاسبات و فعالیت‌های مهندسی ESP بر اساس شرایط بهره‌برداری، داده‌های فرآیندی، مشخصات مواد و سایر اطلاعات ارائه‌شده توسط مشتری انجام می‌شود.

مشتری موظف است اطمینان حاصل کند که شرایط واقعی بهره‌برداری در محدوده پارامترهای طراحی توافق‌شده باقی بمی‌ماند.

ESP مسئول خرابی ناشی از بهره‌برداری خارج از شرایط طراحی توافق‌شده نخواهد بود.

در صورتی که شرایط فرآیندی، ترکیب خوراک، فشار، دما، دبی، محیط شیمیایی یا سایر پارامترهای بهره‌برداری به‌طور اساسی با اطلاعات ارائه‌شده به ESP تفاوت داشته باشد، مشتری باید فوراً ESP را مطلع کند.

آثار فنی یا تجاری ناشی از این تغییرات باید بررسی شده و می‌تواند به عنوان دستور تغییر (Change Order) تلقی شود.

۳۲. مستندات

یورواسلات پارس اسناد و مدارکی را که صراحتاً در قرارداد درج شده‌اند ارائه خواهد کرد.

هرگونه مستندات اضافی، گواهی، تأییدیه رسمی، ترجمه، قالب‌بندی خاص، نسخه‌های اضافی یا گواهینامه شخص ثالث که در دامنه کاری اولیه درج نشده باشد، می‌تواند مشمول هزینه جداگانه شود.

اسناد مطابق فرمت و برنامه زمانی توافق‌شده در قرارداد ارائه خواهند شد.

۳۳. محصولات و خدمات اشخاص ثالث

در صورتی که محصولات یا قطعات اشخاص ثالث در دامنه کاری ESP قرار گیرند، مسئولیت یورواسلات پارس در قبال آن‌ها صرفاً در حدودی خواهد بود که صراحتاً در قرارداد تعیین شده است.

در صورت وجود گارانتی سازنده شخص ثالث، ESP می‌تواند در حدودی که گارانتی مذکور در اختیار آن قرار گرفته است، آن را به مشتری منتقل نماید.

ESP مسئول عیوبی که صرفاً ناشی از محصولات اشخاص ثالث و خارج از کنترل آن باشد نخواهد بود، با رعایت قانون و مفاد قرارداد مربوطه.

۳۴. عدم اسقاط حقوق

عدم اعمال هر یک از حقوق یا راهکارهای قانونی یا قراردادی توسط ESP به منزله اسقاط آن حق یا راهکار نخواهد بود.

هرگونه اسقاط حق تن‌ها در صورتی معتبر است که به‌صورت کتبی توسط نماینده مجاز ESP انجام شده باشد.

اسقاط حق نسبت به یک تخلف به منزله اسقاط حق نسبت به تخلفات بعدی یا سایر تخلفات نخواهد بود.

۳۵. قابلیت تفکیک

در صورتی که هر یک از مفاد این شرایط یا قرارداد غیرقانونی، نامعتبر یا غیرقابل اجرا تشخیص داده شود، آن بند تا حداقل میزان لازم اصلاح یا تفسیر خواهد شد تا در حدود قانون قابل اجرا باقی بمی‌ماند.

سایر مفاد همچنان کاملاً معتبر و لازم‌الاجرا خواهند بود.

۳۶. تمامیت توافق

قرارداد مربوطه به همراه اسناد صراحتاً وارد‌شده در آن، کل توافق میان ESP و مشتری درباره معامله مربوطه را تشکیل داده و جایگزین مذاکرات، مکاتبات، پیشنهاد‌ها و تفاهم‌های قبلی در خصوص همان موضوع خواهد شد، مگر در مواردی که صراحتاً کتبی حفظ شده باشند.

۳۷. اصلاح شرایط

یورواسلات پارس می‌تواند این شرایط را در طول زمان اصلاح یا به‌روزرسانی نماید.

هرگونه اصلاح برای معاملات آینده اعمال خواهد شد، مگر آنکه صراحتاً خلاف آن توافق شده باشد.

در مورد قراردادهای موجود، نسخه شرایط قابل اعمال در زمان قرارداد حاکم خواهد بود، مگر اینکه طرفین به‌صورت کتبی خلاف آن را توافق کنند.

۳۸. قانون حاکم

این شرایط، قرارداد مربوطه و هرگونه اختلاف ناشی از آن‌ها یا مرتبط با آن‌ها، مطابق قوانین جمهوری اسلامی ایران تفسیر و اجرا خواهند شد، بدون خدشه به قوانین آمرهای که طبق قانون قابل استثناء نباشند.

۳۹. صلاحیت قضایی

هرگونه اختلاف، ادعا یا دعوی ناشی از یا مرتبط با این شرایط یا قرارداد مربوطه، در حدود حداکثر مجاز قانون، تحت صلاحیت دادگاه‌های صالح تهران، ایران خواهد بود.

مشتری موافقت می‌کند که در حدود مجاز قانونی، دادگاه‌های مذکور دارای صلاحیت انحصاری نسبت به اختلافات ناشی از یا مرتبط با معامله مربوطه باشند.

۴۰. زبان

در صورتی که این شرایط یا قرارداد به دو زبان انگلیسی و فارسی صادر شود، قرارداد مربوطه باید مشخص کند که در صورت وجود مغایرت، کدام نسخه دارای اولویت است.

مگر آنکه صراحتاً در قرارداد خلاف آن توافق شده باشد، زبان حاکم بر رابطه قراردادی، زبانی خواهد بود که در قرارداد امضاشده به عنوان زبان حاکم تعیین شده است.

۴۱. ابلاغ‌ها

ابلاغ‌های قراردادی باید به‌صورت کتبی و از طریق روش‌های ارتباطی مورد توافق در قرارداد انجام شوند.

ابلاغ‌های مربوط به مسائل فنی، تجاری، مالی یا قراردادی باید به اشخاص تماس تعیینشده در قرارداد یا مکاتبات رسمی ارسال شوند.

مکاتبات غیررسمی از طریق کانال‌های فاقد اختیار، موجب اصلاح تعهدات قراردادی نخواهد شد.

۴۲. عدم اختیار اشخاص فاقد صلاحیت

هیچ کارمند، نماینده، عامل، پیمانکار فرعی یا شخص دیگری که از طرف ESP فعالیت می‌کند، اختیار اصلاح، اسقاط یا تغییر این شرایط یا قرارداد را ندارد، مگر آنکه چنین اختیاری صراحتاً توسط نماینده مجاز یورواسلات پارس اعطا شده باشد.

حکم نهایی

این شرایط با هدف تعیین چارچوب عمومی تجاری معاملات میان یورواسلات پارس و مشتریان آن تدوین شده است.

شرایط اختصاصی تجاری، فنی، تحویل، گارانتی، پرداخت، نصب و پروژه مطابق قرارداد، پیشنهاد قیمت، سفارش خرید و سایر اسنادی که صراحتاً توسط ESP پذیرفته شده‌اند تعیین خواهند شد.

در صورتی که توافقنامه کتبی اختصاصی یک پروژه دارای مفادی متفاوت با این شرایط باشد، مفاد اختصاصی پروژه صرفاً در حدود تعارض بر این شرایط مقدم خواهد بود.
